This Partner Program Agreement (the "Agreement") is made on [Effective date] between [Company legal name] (the "Company") and [Partner legal name] (the "Partner").

## 1. The program
The Company runs the [Program name] partner program (the "Program") for agencies, consultants and technology companies that refer, implement or support [Product name] (the "Product"). By signing, the Partner joins the Program at the [Starting tier] tier.

## 2. Partner tiers
Tiers are reviewed every [Review period] based on the previous 12 months:

## 3. Deal registration
The Partner registers each opportunity through [Registration method] before the Company contacts the prospect. An approved registration protects the Partner's claim for [Protection period]. The first approved registration for an account wins. Only registered opportunities earn rewards.

## 4. Commissions
For each registered opportunity that becomes a paying customer, the Company pays the commission of the Partner's tier on net subscription fees received during [Commission period]. Net fees exclude taxes, refunds, discounts and services. Commissions are paid [Payment frequency], within [Payment terms] after the Company receives the customer's payment.

## 5. Implementation services
The Partner may sell its own services (setup, training, integrations) to customers and keeps all service revenue. The Partner is solely responsible for the services it delivers.

## 6. Enablement and co-marketing
The Company provides the Partner with product training, sales materials, a demo account and a named partner contact. Joint marketing activities (webinars, case studies, listings) are agreed in writing case by case. Neither party publishes a joint announcement without the other's approval.

## 7. Brand use
Each party may use the other's name and logo to describe the partnership, following the other's brand guidelines. The Partner will not bid on the Company's brand in paid search.

## 8. Conduct
The Partner describes the Product accurately, makes no unapproved commitments on features, pricing or results, and complies with anti-spam, data protection and anti-corruption laws.

## 9. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the Program, during the term and for [Confidentiality period] after.

## 10. Term and termination
This Agreement continues until either party ends it with [Notice period] written notice. Commissions on customers signed before termination remain payable for their commission period, unless the Partner terminated for convenience [Or other rule]. Either party may terminate immediately for material breach not cured within 15 days.

## 11. Liability and general terms
Neither party is liable for indirect damages. Total liability is limited to the commissions paid or payable in the 12 months before the claim. The parties are independent contractors. Governing law: [Governing law].

What does a partner agreement cover?

A partner agreement is the master contract of your partner program. It covers who can join, how deals are registered and attributed, what partners earn at each tier, how they may use your brand, and how either side can end the relationship. Individual deals then run under it without renegotiation.

Use it when your partners are agencies, consultants and complementary software vendors who both refer deals and help implement. For pure link-based affiliates, click-through terms are usually enough. For partners who resell, use the reseller agreement.

How to adapt it

Keep the tier table short and based on numbers you can measure: referred revenue, certified staff, active clients. Make deal registration the only way to claim credit, with a fixed protection window, so attribution never depends on memory.

Do I need a partner agreement for affiliates?

Usually not. Affiliates accept program terms at signup. A signed partner agreement fits partners who register deals, co-sell or implement your product.

What is deal registration?

A process where the partner records a prospect before you contact it. The first partner to register an account gets credit for it for a set period, such as 90 days.

How many partner tiers should I have?

Two or three at most. Each tier needs a measurable requirement and a reward partners actually care about.
